Terms and Conditions

Please read these terms carefully before using AssetIQ services.

Introduction

These Terms and Conditions ("Terms") govern your access to and use of the AssetIQ website, software platform, mobile applications, APIs, and related services (collectively, the "Services").

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree with these Terms, you must not access or use the Services.

These Terms apply to: • Website visitors • Trial users • Free-tier users • Paying subscribers • Authorized users of customer accounts

About AssetIQ

AssetIQ is a cloud-based asset management platform designed to help organizations manage, maintain, track, audit, and analyse physical and digital assets.

Definitions

For the purposes of these Terms: • Customer means any individual, company, organization, or entity subscribing to the Services. • User means an individual authorized by a Customer to access and use the Services. • Customer Data means all information, records, documents, images, files, and content uploaded, stored, created, or generated within the Services. • Subscription means a free, trial, monthly, annual, or enterprise plan offered by AssetIQ. • Services means the AssetIQ website, software platform, mobile applications, APIs, and related services. • Confidential Information means non-public information disclosed by either party that would reasonably be considered confidential.

Eligibility

To use AssetIQ, you must: • Be at least eighteen (18) years of age • Have authority to enter into legally binding agreements • Use the Services in accordance with applicable laws and regulations

If you use AssetIQ on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Account Registration

You are responsible for: • Providing accurate registration information • Maintaining current account information • Protecting login credentials • Restricting access to authorized users • Activities performed under your account

You must promptly notify AssetIQ of any unauthorized access, suspected security breach, or misuse of your account.

Subscription Plans

AssetIQ may offer: • Free plans • Trial plans • Monthly subscriptions • Annual subscriptions • Enterprise subscriptions

Features, storage limits, usage limits, and pricing are described on the AssetIQ website or within the platform.

AssetIQ reserves the right to modify plan features, limits, and pricing with reasonable notice.

Free Plans and Trial Accounts

Free Plans

Free plans are provided without charge and may be modified, restricted, suspended, or discontinued at any time. AssetIQ does not guarantee the continued availability of any free plan.

Trial Accounts

Trial subscriptions are provided solely for evaluation purposes. AssetIQ may: • Restrict functionality during trial periods • Limit storage or usage • Suspend or terminate trial accounts upon expiry Trial data may be deleted after the trial period unless the account is converted to a paid subscription.

Billing and Payment

For paid subscriptions: • Fees are billed in advance • Payment must be made using approved payment methods • All fees are exclusive of taxes unless otherwise stated • Customers are responsible for applicable taxes and duties

Failure to pay fees may result in: • Suspension of Services • Restriction of features • Account termination

Except where required by law, subscription fees are non-refundable.

Subscription Renewal and Cancellation

Subscriptions automatically renew at the end of the applicable subscription term unless cancelled before the renewal date.

Customers may cancel subscriptions through the platform or by contacting AssetIQ support.

Cancellation does not entitle the customer to a refund for unused subscription periods unless required by law.

Customer Responsibilities

Customers are responsible for: • Managing user accounts and permissions • Maintaining password confidentiality • Protecting exported data • Maintaining appropriate internet connectivity • Complying with applicable laws and regulations • Reviewing and validating reports, analytics, and outputs generated by the Services

Customers remain responsible for decisions made using information provided by AssetIQ.

Acceptable Use

You agree not to: • Use the Services for unlawful purposes • Upload malicious software or harmful code • Attempt unauthorized access to systems or data • Circumvent security controls • Interfere with platform operations • Conduct unauthorized penetration testing • Infringe intellectual property rights • Reverse engineer, copy, modify, or resell the Services • Transmit spam, malware, or harmful content

AssetIQ reserves the right to investigate violations and take appropriate action.

Customer Data Ownership

Customers retain ownership of all Customer Data stored within AssetIQ.

Customer Data may include: • Asset records • Maintenance records • Inspection reports • Work orders • Images • Documents • GPS and telematics data • Operational records

AssetIQ does not claim ownership of Customer Data.

AssetIQ may access Customer Data only where necessary to: • Provide the Services • Deliver support • Resolve technical issues • Improve platform functionality • Investigate security incidents • Comply with legal obligations

Data handling is governed by the AssetIQ Privacy Policy.

Confidentiality

Each party agrees to protect the other party's Confidential Information using reasonable care.

Neither party shall disclose Confidential Information except: • With prior written consent • To authorized personnel who require access • Where required by law or regulatory authority

These obligations survive termination of the Services.

Intellectual Property

AssetIQ retains all rights, title, and interest in: • Software • Source code • User interfaces • Documentation • APIs • Workflows • Templates • Reports • Dashboards • Trademarks • Logos • Platform functionality

No ownership rights are transferred to customers.

Customers receive a limited, non-exclusive, non-transferable license to use the Services during an active subscription.

Customer Feedback

Customers may provide suggestions, recommendations, enhancement requests, or feedback regarding the Services.

AssetIQ may use such feedback without restriction, obligation, or compensation.

APIs and Integrations

AssetIQ may provide APIs and integration capabilities.

AssetIQ reserves the right to: • Apply rate limits • Restrict API usage • Modify APIs • Discontinue APIs with reasonable notice

Customers are responsible for maintaining compatibility with third-party systems.

Third-Party Services

AssetIQ may integrate with third-party services including: • Microsoft Azure • ERP platforms • CRM platforms • Payment providers • Email providers • Mapping services • GPS and telematics providers

AssetIQ is not responsible for: • Third-party availability • Third-party accuracy • Third-party security practices

Use of third-party services may be subject to separate terms.

Artificial Intelligence and Beta Features

AssetIQ may provide: • Artificial intelligence features • Predictive analytics • Automation capabilities • Experimental features • Beta releases

Customers remain responsible for validating AI-generated outputs and recommendations.

Beta features are provided on an "as-is" basis and may be modified or withdrawn at any time.

Availability and Service Changes

AssetIQ aims to provide reliable Services but does not guarantee uninterrupted operation.

The Services may be affected by: • Scheduled maintenance • Software upgrades • Infrastructure failures • Internet disruptions • Third-party service interruptions

Unless separately agreed in writing, AssetIQ does not provide guaranteed uptime or service level commitments.

AssetIQ may modify, enhance, or discontinue features at its discretion.

Suspension and Termination

AssetIQ may suspend or terminate access where: • These Terms are breached • Fees remain unpaid • Security risks are identified • Required by law • Continued use threatens platform stability

Customers may terminate subscriptions in accordance with their subscription plan.

Upon termination: • Access to the Services will cease • Customer Data will be handled in accordance with the Privacy Policy and retention procedures

Disclaimer of Warranties

The Services are provided on an "as is" and "as available" basis.

To the fullest extent permitted by law, AssetIQ disclaims all warranties, including: • Merchantability • Fitness for a particular purpose • Non-infringement • Continuous availability • Error-free operation

AssetIQ does not guarantee that the Services will meet every customer requirement.

Limitation of Liability

To the maximum extent permitted by law, AssetIQ shall not be liable for: • Indirect damages • Consequential damages • Loss of profits • Loss of business • Loss of goodwill • Loss of data • Business interruption

AssetIQ's total aggregate liability shall not exceed the greater of: • The fees paid by the Customer during the twelve (12) months preceding the claim; or • SGD $1,000

This limitation applies regardless of the cause of action.

Indemnification

You agree to indemnify and hold AssetIQ harmless from any claims, liabilities, damages, losses, costs, and expenses arising from: • Your use of the Services • Your breach of these Terms • Violation of applicable laws • Infringement of third-party rights

Force Majeure

AssetIQ shall not be liable for delays or failures resulting from events beyond its reasonable control, including: • Natural disasters • Internet outages • Cloud provider failures • Cyber attacks • Government actions • Utility failures • Labor disputes

Export Compliance

Customers agree to comply with applicable export control, trade sanctions, and import/export laws.

The Services may not be used in jurisdictions prohibited by applicable law.

Privacy and Security

Use of the Services is subject to the AssetIQ Privacy Policy.

Additional information regarding AssetIQ security practices may be available through AssetIQ's Security & Trust documentation.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Singapore.

Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Singapore.

Changes to These Terms

AssetIQ may update these Terms from time to time.

Material changes may be communicated through: • Platform notifications • Website announcements • Email communications

Continued use of the Services after the effective date of updated Terms constitutes acceptance of the revised Terms.
